These Terms govern your access to and use of solanahorizon.com, its subdomains, membership features, and email newsletters operated by Horizon Solana Media LLC (collectively, the “Services”).

1. Acceptance of These Terms

These Website Terms of Use (“Terms”) are an agreement between you and Horizon Solana Media LLC (“Horizon,” “we,” “us,” or “our”). By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

We may update these Terms from time to time. The revised Terms become effective when posted, unless a later date is stated. Your continued use of the Services after the effective date of revised Terms constitutes acceptance of the changes to the extent permitted by applicable law.

2. Eligibility

You may use the Services only if you are legally capable of entering into a binding agreement and your use complies with applicable law. The Services are not directed to children under 13, and children under 13 may not create an account, subscribe, or provide personal information through the Services.

3. Editorial and Informational Content

The Services provide news, reporting, analysis, commentary, interviews, educational material, and other general information. Nothing on or distributed through the Services constitutes financial, investment, trading, legal, tax, accounting, or other professional advice. Nothing is an offer, solicitation, recommendation, endorsement, or guarantee to buy, sell, hold, stake, lend, borrow, or otherwise transact in any asset, token, security, protocol, product, or service.

Horizon is not acting as your investment adviser, broker, dealer, fiduciary, attorney, accountant, or agent. You are solely responsible for evaluating information, conducting independent research, obtaining professional advice when appropriate, and deciding whether any transaction or activity is suitable for you.

Risk and forward-looking information

Digital assets, decentralized networks, financial products, and emerging technologies can be volatile, speculative, technically complex, and subject to changing legal and regulatory treatment. You may lose some or all of the money or assets you commit. Historical results, performance figures, forecasts, estimates, roadmaps, statements of intent, and other forward-looking information are not guarantees of future results.

Accuracy and timeliness

We aim to publish useful and accurate information, but content may contain errors, omissions, opinions, estimates, or information that becomes outdated. Information may be based on third-party statements, public data, interviews, or sources we cannot independently verify. We do not guarantee that content is complete, accurate, current, or suitable for any particular purpose, and we are not obligated to update previously published content except as we determine appropriate.

4. Sponsorships, Advertising, and Commercial Relationships

The Services may include advertising, sponsored content, affiliate links, event or product promotions, or coverage of companies with which Horizon has a commercial relationship. We will disclose material commercial relationships when required by applicable law. A commercial relationship does not constitute a guarantee, warranty, or endorsement of a third party, its statements, or its products or services.

Any transaction or interaction between you and an advertiser, sponsor, affiliate partner, or other third party is solely between you and that third party. Horizon is not responsible for third-party products, services, claims, payments, delivery, security, or privacy practices.

5. Intellectual Property and Permitted Use

The Services and their contents, including articles, newsletters, headlines, graphics, logos, designs, photographs, audio, video, databases, compilations, software, and other materials, are owned by or licensed to Horizon and are protected by copyright, trademark, and other intellectual-property laws.

Permitted sharing

You may access the Services for your personal, non-commercial use. You may also share links to our content and quote brief excerpts for commentary, discussion, or reporting, provided that you:

  • accurately attribute the material to Horizon or solanahorizon.com;
  • include a reasonably prominent link to the original page when sharing online;
  • do not alter the meaning or context of the quoted material; and
  • do not imply sponsorship, endorsement, or affiliation that does not exist.

Uses requiring permission

Except as expressly permitted above or by applicable law, you may not, without our prior written permission:

  • republish, reproduce, distribute, sell, license, syndicate, publicly display, or commercially exploit all or a substantial portion of any article, newsletter, database, or other content;
  • remove or obscure copyright, trademark, attribution, or proprietary notices;
  • systematically scrape, crawl, harvest, download, or extract content or data, including through automated tools, bots, or scripts;
  • use content or data from the Services to train, fine-tune, evaluate, ground, or develop an artificial-intelligence or machine-learning model, except where we expressly authorize that use in writing;
  • circumvent access controls, rate limits, robots.txt directives, technical protections, or other measures used to protect the Services; or
  • create a service or product that substitutes for, reproduces, or materially competes with the Services using our content.

Conventional search engines may index publicly available pages in accordance with our robots.txt directives and other technical instructions. Requests for syndication, licensing, commercial reuse, or other permissions should be sent to admin@solanahorizon.com.

6. Accounts and Newsletter Subscriptions

Some features may allow you to create a member account or subscribe to one or more newsletters. You agree to provide accurate information and to keep access links, passwords, or other authentication credentials secure. You are responsible for activity conducted through your account to the extent caused by your failure to safeguard those credentials.

You may unsubscribe from marketing or editorial newsletters by using the unsubscribe link in the message or contacting admin@solanahorizon.com. We may still send transactional or service-related messages, such as sign-in links, subscription confirmations, security notices, or responses to your requests.

We may suspend, limit, or terminate an account or subscription if we reasonably believe it is being used unlawfully, fraudulently, abusively, to evade restrictions, or in violation of these Terms.

7. Prohibited Conduct

You may not use the Services to:

  • violate any applicable law or the rights of another person or entity;
  • impersonate another person, misrepresent your identity or affiliation, or engage in fraud or deception;
  • introduce malware, malicious code, excessive traffic, denial-of-service activity, or other material that disrupts or harms the Services;
  • attempt to gain unauthorized access to accounts, systems, networks, data, or security features;
  • send spam, unsolicited promotions, or other unauthorized marketing through or in connection with the Services;
  • collect or attempt to collect personal information about other users without authorization; or
  • encourage, assist, or enable another person to engage in prohibited conduct.

8. Third-Party Links and Services

The Services may link to, embed, quote, or otherwise reference third-party websites, applications, social-media posts, protocols, products, or services. We do not control those third parties and are not responsible for their content, availability, security, legality, accuracy, terms, or privacy practices. A link or reference does not necessarily imply endorsement. You access and use third-party services at your own risk and subject to their terms and policies.

9. Copyright Concerns

We respect intellectual-property rights. If you believe content available through the Services infringes your copyright, send a written notice to admin@solanahorizon.com containing:

  • identification of the copyrighted work you claim has been infringed;
  • identification and location of the allegedly infringing material;
  • your name and contact information;
  • a statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
  • a statement, made under penalty of perjury, that the information in your notice is accurate and that you are authorized to act for the copyright owner; and
  • your physical or electronic signature.

We may request additional information, remove or restrict access to material, restore material where appropriate, or take other action based on the circumstances and applicable law.

10. Service Availability and Changes

We may add, remove, suspend, restrict, or discontinue any part of the Services at any time. We do not guarantee that the Services will always be available, uninterrupted, secure, or error-free, or that defects will be corrected. We are not liable for interruptions caused by maintenance, hosting providers, internet failures, security incidents, third parties, events beyond our reasonable control, or other causes.

11. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. HORIZON DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES OR CONTENT WILL BE ACCURATE, COMPLETE, RELIABLE, CURRENT, SECURE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS. IN THOSE JURISDICTIONS, THE DISCLAIMERS ABOVE APPLY ONLY TO THE EXTENT PERMITTED BY LAW.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, HORIZON AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, DATA, DIGITAL ASSETS, OR OTHER INTANGIBLE LOSS, ARISING OUT OF OR RELATING TO THE SERVICES, CONTENT, THIRD-PARTY SERVICES, OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF HORIZON AND THE PARTIES LISTED ABOVE FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES, CONTENT, OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID DIRECTLY TO HORIZON FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

These limitations apply regardless of the legal theory asserted and do not limit liability that cannot lawfully be excluded or limited. Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

13. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Horizon and its members, managers, officers, employees, contractors, and affiliates from claims, liabilities, damages, judgments, losses, and reasonable legal expenses arising from your unlawful use of the Services, your material violation of these Terms, or your infringement or misappropriation of another party’s rights. This obligation does not apply to the extent a claim results from Horizon’s own unlawful conduct.

14. Governing Law and Dispute Venue

These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Except where applicable law requires otherwise, you and Horizon agree that any legal action will be brought exclusively in the state or federal courts located in Harris County, Texas, and each party consents to the jurisdiction and venue of those courts.

15. General Terms

Severability

If any provision of these Terms is found unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permissible or modified to the minimum extent necessary, and the remaining provisions will remain in effect.

No waiver

A failure or delay in enforcing a provision of these Terms does not waive the right to enforce it later. Any waiver must be in writing and signed by Horizon.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, restructuring, sale of assets, change of control, or by operation of law.

Entire agreement

These Terms and the Privacy Policy constitute the entire agreement between you and Horizon regarding the Services and supersede prior or contemporaneous understandings concerning the same subject matter. They do not create rights for any third-party beneficiary.
